Thread: poweroff started giving system halted

so have fresh install of lubuntu core off of 12.04 64 bit mini cd. on dell poweredge server. have spent week trying setup liking , @ point in past couple days changed. when try power off machine goes system halted have manually hold power button in shut down. not have special drivers video or , working @ first.
happens if try shutdown menu or if issue "shutdown -p now" / "shutdown -h now" terminal. have removed splash quiet parameters see going system halted.
if terminal issue "poweroff" has same result. reboot still working fine everywhere.
if go run executable file /usr/lib/klibc/bin/poweroff instantly shuts off without unmounting etc....
have inspected /etc/default/halt , reads "halt=poweroff" other pc working fine.
have compared /etc/init.d/halt make sure same other pc.
have used synaptic reinstall acpi / apm files.

hard changed have invested time in installing different programs , setting things up.
thoughts appreciated.
